Here is a quick recap.
1) Ethereal DOES work with plain-text MIBs in the format as supplied in c:\usr\mibs (Please check them now to confirm they are similar to your files)
2) There is no need to do any compilation to get Ethereal working, it has been done for you.
3) Test your assumptions:
a1) Is your MIB valid.
a2) Is your MIBs OID consistent such that Ethereal can locate it.
a3) MIBS=ALL must be available to Ethereal otherwise it will skip most MIBs in the directory.
a4) Test UCD-SNMP client application works without Ethereal
a5) Is the MIB path correct, i.e. c:\usr\mibs rather than the installer c:\user\mibs
To this end,
1) The snmpwalk tutorial is at:

2) The Windows Client Libraries (already compiled) are at:
http://telia.dl.sourceforge.net/net-snmp/ucd-snmp-4.2.1-1.win.zip
3) Test your MIBs and target host with snmpwalk (remember MIBS=ALL)
If you get that working, then Ethereal WILL WORK. I suggest you do a C: install to at least see if the E: installed caused it to fail.
