I finally managed to get Ethereal collecting packets with Win 2k and this may work for you ?
 
type windump -D to see how many devices there are (notice that it puts a number in front of each interface). If you are having the usual win2k prob then the rest if the interface will be some kind of registry key garbage.
 
then type
 
  windump -i1  (yep use the interface number not the name mine works with 4 which is my last listed interface)
 
this appears to kick the packet capture driver into life. Then you can start ethereal and click on that interface in the list (in my case the 4th interface) and it will start to log packets.
